Fine against Airesis SA

The Sanctions Commission of SIX Group AG has sanctioned Airesis SA with a fine of CHF 50’000 for gross negligently breaching the provisions on ad hoc publicity.

SIX Exchange Regulation AG (SER) which is responsible for monitoring and enforcing stock exchange regulations concerning listed companies, opened an investigation against Airesis SA on 22 December 2022 after having conducted a preliminary inquiry. The reason hereof was the ad hoc announcement published on 12 April 2022. Having completed a thorough investigation, SER submitted a sanction proposal to the Sanctions Commission of SIX Group AG. The Sanctions Commission of SIX Group AG followed the sanction proposal and sanctioned Airesis SA by decision dated 11 May 2023 with a fine in the amount of CHF 50’000. The decision of the Sanctions Commission of SIX Group AG became legally binding after Airesis SA chose not to appeal.

The Sanctions Commission of SIX Group AG largely concurred with SER’s sanction proposal regarding the alleged violations of the Listing Rules (LR) and the Directive on Ad hoc Publicity (DAH). It held that the disclosure of price-sensitive facts on 7 April 2022 by a subsidiary of Airesis SA via LinkedIN and the subsequent belated publication of the same price-sensitive facts by Airesis SA on 12 April 2022 violated Art. 53 LR in connection with Art. 5 and 6 DAH.

The degree of fault has been qualified as grossly negligent, the severity of the breach as severe. In determining the level of fines, the Sanctions Commission of SIX Group AG considered the impact of the sanction on the party concerned.
